Overview

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement governing access to and use of the websites, software, APIs, creative environments, and other digital products or services (collectively, the "Services") provided by PRUKARIO Inc., a C Corporation organized under the laws of the State of Delaware, USA, with its principal mailing address at 8 The Green #24183, Dover, DE 19901, United States ("PRUKARIO," "we," "our," or "us").

By accessing or using any part of the Services, you ("User") acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not accept them, you must not use the Services.

Scope

2. Nature of the Agreement

These Terms form a binding contract between PRUKARIO Inc. and any individual or entity that uses its Services.

They apply to all PRUKARIO-operated platforms—including prukario.ai, its sub-domains, collaborative environments, integrations, and future products—collectively referred to as the PRUKARIO Ecosystem.

Any new features or updates that expand the Services will automatically fall under these Terms unless stated otherwise.

4. Eligibility and Acceptable Use

4.1 The Services are intended for individuals of legal age and full contractual capacity.

4.2 Users agree to employ the Services ethically, in compliance with applicable law and PRUKARIO standards of transparency, respect, and accountability.

4.3 Prohibited activities include the following:

• Using the Services for unlawful, deceptive, defamatory, or fraudulent purposes.
• Creating or distributing material that infringes intellectual-property or privacy rights.
• Attempting to gain unauthorized access to PRUKARIO systems or other user accounts.
• Circumventing or disabling security, audit, or authentication mechanisms.
• Reverse-engineering or decompiling any component of the platform.

Enforcement

4.4 Enforcement

PRUKARIO may suspend, restrict, or terminate access for conduct that violates these Terms or endangers system integrity.

Accounts

5. Account Registration and Security

Users must provide accurate and complete information when creating an Account and keep credentials confidential.

You are solely responsible for all activity occurring under your credentials.

Suspected breaches must be reported immediately to security@prukario.ai.

PRUKARIO will not be liable for loss or damage resulting from compromised credentials or negligent account management.

IP

6. Intellectual Property

6.1 All components of the Services—including software, databases, designs, interfaces, AI models, documentation, and trade names—are the exclusive property of PRUKARIO Inc. or its licensors and are protected by U.S. and international intellectual-property laws.

6.2 No element of the Services may be copied, reproduced, modified, or commercially exploited without PRUKARIO's prior written authorization.

6.3 Users retain ownership of their own Creations generated through the Services, unless otherwise agreed in a separate written contract.

6.4 By using the Services, Users grant PRUKARIO a worldwide, limited, revocable, non-exclusive, royalty-free license to host, process, and display such Creations solely for technical, operational, and quality-assurance purposes.

6.5 PRUKARIO may utilize anonymized or aggregated data to improve system performance, analytics, and model calibration, without claiming ownership of individual works.

AI

7. Artificial Intelligence and User Responsibility

7.1 Users acknowledge that outputs generated by PRUKARIO's AI systems are probabilistic and may contain inaccuracies.

7.2 Users are fully responsible for reviewing, editing, and validating AI-generated results prior to publication or commercial use.

7.3 PRUKARIO disclaims any liability arising from reliance on, or distribution of, AI-generated content.

7.4 Use of PRUKARIO's AI tools implies acceptance of their experimental nature and inherent variability.

Content

8. User Content

8.1 Users represent and warrant that they hold all necessary rights to any material uploaded or shared via the Services.

8.2 Users must not submit content that is illegal, obscene, violent, defamatory, or otherwise violates third-party rights.

8.3 PRUKARIO reserves the right, at its sole discretion, to remove or restrict content deemed inappropriate or unlawful, without prior notice.

8.4 Ownership of User Content remains with the User, subject to the operational license described herein.

Privacy

9. Privacy and Data Protection

9.1 PRUKARIO collects and processes personal data in accordance with its Privacy Policy, which forms part of these Terms.

9.2 Users authorize PRUKARIO to gather technical and usage information for security, optimization, and analytical purposes.

9.3 PRUKARIO does not sell, lease, or otherwise transfer personal data for advertising purposes without the User's explicit consent.

9.4 All data are stored securely in compliance with internationally recognized information-security standards.

Liability

10. Disclaimers and Limitation of Liability

10.1 The Services are provided "as is" and "as available," without express or implied warranties of any kind.

10.2 PRUKARIO makes no guarantee regarding uninterrupted operation, error-free performance, or absolute data integrity.

10.3 To the fullest extent permitted by law, PRUKARIO Inc. shall not be liable for indirect, incidental, punitive, or consequential damages, including loss of profits, data, or goodwill.

10.4 In all events, PRUKARIO's aggregate liability to any User shall not exceed the total amount paid by that User for the Services during the twelve (12) months preceding the claim.

Updates

11. Amendments and Updates

PRUKARIO may revise these Terms at any time. Updated versions will be posted on the official website and take effect upon publication. Continued use of the Services after such updates constitutes acceptance of the revised Terms.

Termination

12. Suspension and Termination

PRUKARIO may suspend or terminate Accounts for breaches, suspected misuse, or legal requirements.

Users may close their Accounts or request deletion of data at any time, subject to applicable retention obligations.

PRUKARIO may retain certain records for legal, security, or compliance purposes.

Jurisdiction

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed under the laws of the State of Delaware, USA, excluding its conflict-of-law principles.

Any dispute shall be resolved, at PRUKARIO's election, by binding arbitration conducted in Delaware or by the state or federal courts of Delaware, and both parties irrevocably consent to such exclusive jurisdiction and venue.

General

14. General Provisions

If any provision is held invalid, the remaining clauses remain enforceable.

PRUKARIO's failure to enforce any right does not constitute a waiver.

Users may not assign or transfer their rights or obligations without prior written consent from PRUKARIO.

PRUKARIO may assign or delegate its rights and obligations to affiliates, subsidiaries, or lawful successors.
